Legal identity first

Confirm the legal name, Ontario corporation number, governing statute, articles, registered office, directors, officers, shareholders or statutory members, and every existing bylaw. CANADIAN DEMOCRATIC DEFENCE ASSOCIATION is a registered business name of 1001215704 ONTARIO CORPORATION; the business name is not assumed to be a separate corporation.

Statute decision

Counsel must confirm whether the corporation is governed by Ontario’s Business Corporations Act or another statute. Do not adopt not-for-profit member provisions into a share corporation without lawful articles, restructuring and approvals. Civic members, website users and volunteers are not corporate shareholders or statutory members unless valid corporate records expressly establish that status.

Authority map

For every instrument, identify the adopting body, statutory authority, required notice, quorum, voting threshold, filing requirement and effective date. If civic-member confirmation is not legally binding, record it as consultation and obtain the separate corporate approval required by law.

Adoption record

The signed package must include the final text, redline, board resolution, any shareholder or statutory-member resolution, consultation result, legal review note, effective date and custodian. Draft website publication alone never constitutes adoption.
