Notice and agenda
The notice states the date, access method, eligibility, quorum target, agenda, supporting record and deadlines. Late urgent business requires recorded reasons and cannot be used to avoid meaningful notice.
Motions and amendments
A motion must be specific, within authority and accompanied by reasons, cost, implementation owner and known contrary evidence. Amendments must remain germane and cannot reverse the motion without clear notice. The chair rules on procedure subject to an appeal to the assembly.
Voting
Eligibility is verified once and each eligible member participates once. Individual choices remain private and separate from participation records. Interim totals are withheld. Final totals, turnout, quorum status, abstentions, question text and correction notices are published; small subgroups below the privacy threshold are suppressed.
Effect of result
Every ballot states whether it is consultative or validly delegated. A consultative result informs the board and requires a written response; it does not amend corporate records or bind the corporation automatically.
